This is a first-pass draft prepared for legal review. It is not final and must not be published or relied upon until reviewed and approved by qualified counsel. Bracketed items mark facts that must be confirmed before publication.
1. Who we are and what this agreement covers
Signal North ("Signal North," "we," "us," or "our") is a procurement intelligence service operated by [LEGAL ENTITY NAME, PENDING REGISTRATION], a business registered in Ontario, Canada. These Terms of Service ("Terms") govern your access to and use of the Signal North website, subscription service, weekly briefs, and related features (together, the "Service").
By creating an account, subscribing to the Service, or otherwise accessing the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What Signal North is
Signal North synthesizes publicly available records related to Canadian public-safety and defence procurement — including but not limited to tender notices, contract awards, grant programs, council and board minutes, published budgets, and government estimates — into a weekly intelligence brief and supporting tools.
Signal North is an analytical product, not advice. Nothing in the Service constitutes legal, financial, business, or procurement advice. Signal North does not predict award outcomes, incumbent positions, or contract values with certainty, and does not guarantee that any opportunity described in the Service will result in a tender, an award, or any other procurement action. Where the Service describes a possibility, a direction, or an early signal, it is exactly that — a read of the public record, not a forecast you may rely on for a business decision. You are solely responsible for your own procurement, bidding, and business decisions.
3. Eligibility and account registration
The Service is intended for business and professional use by organizations and individuals operating in or serving the Canadian public-safety and defence procurement market. You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account and for keeping your login credentials secure.
4. Subscription tiers, pricing, and billing
The Service is offered on a subscription basis across tiers described on our pricing page. Subscription fees are billed in advance on the cycle stated at signup (annual, unless otherwise agreed) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees on a recurring basis until you cancel.
Founding-member pricing. Where we offer a founding-member rate, that rate is locked for the term stated at the time of offer and is not available through self-serve signup. Founding-member pricing is offered at our discretion and may be withdrawn for future subscribers at any time.
Price changes. We may change subscription pricing for future billing periods with notice. Price changes do not apply retroactively to a billing period you have already paid for, and do not override a locked founding-member rate for its stated term.
Cancellation. You may cancel your subscription at any time through your account. Cancellation takes effect at the end of your current billing period; we do not provide prorated refunds for partial periods except where required by law or at our discretion.
Refunds. [POLICY TO BE CONFIRMED — draft position: fees are generally non-refundable except as required by law or as we may agree in individual cases.]
5. Acceptable use
You agree not to:
- Share, resell, sublicense, or redistribute your access credentials or the Service itself to any person or organization not covered by your subscription, except that you may forward an individual weekly brief you have received to colleagues in the ordinary course of your work;
- Use automated means (scraping, bots, or similar) to extract content from the Service;
- Attempt to reverse engineer, decompile, or circumvent any access control, including the signed-link mechanism used to distribute briefs;
- Use the Service to build a competing product;
- Misrepresent your identity or organization in connecting to the Service.
We may suspend or terminate access for a violation of this section.
6. Intellectual property
The compilation, synthesis, analysis, and presentation of information in the Service — including our selection, arrangement, and written analysis of public-record information — is our intellectual property. The underlying facts we report on remain public record and are not owned by us. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. It does not transfer ownership of any Signal North content to you.
7. Data neutrality commitment
Signal North's corpus is built exclusively from public records. We do not collect, request, or use information about what you are bidding on, your business strategy, or your interactions with any procurement process, and nothing you do within the Service influences what is covered or how it is presented to other subscribers. This commitment is core to the Service and is described further in our Privacy Policy.
8. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY INFORMATION PROVIDED IS COMPLETE, ACCURATE, OR CURRENT. PUBLIC RECORDS CHANGE, ARE SOMETIMES INCOMPLETE, AND MAY BE SUPERSEDED WITHOUT NOTICE TO US.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL NORTH AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, BUSINESS, OR OPPORTUNITY, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
[Counsel should confirm this section against Ontario consumer protection and B2B liability law before publication.]
9. Termination
We may suspend or terminate your access to the Service for a breach of these Terms, non-payment, or at our discretion with reasonable notice where no breach has occurred. You may terminate by cancelling your subscription as described in Section 4.
10. Changes to these Terms
We may update these Terms from time to time. We will provide notice of material changes by email or through the Service before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
12. Contact
Questions about these Terms can be sent to [LEGAL/CONTACT EMAIL, TO BE CONFIRMED].
